B) TERMS OF USE
The Terms of Use and the Privacy Policy constitute the contract stipulated between Sooneat Srl and the user, whether professional or final, to be distinguished according to the definitions listed below.
With regard to the professional user, these provisions apply in addition to the General Terms and Conditions of Sale and Use and the special terms and conditions at the time of access.
We therefore invite you to read the aforementioned carefully as the terms of use become binding as soon as the Sooneat APP is used, and by using it they are considered as accepted in writing.
1B: If you disagree with these Terms of Use, in whole or in part, do not use the Sooneat APP.
B.1. Terms of use of the Sooneat App
Definitions:
- “Company”: means the Company Sooneat Srl;
- “Sooneat”: means the application distributed by the Company Sooneat Srl;
- “professional user”: means the restaurateur who has the opportunity to integrate, easily and free of charge, the “Sooneat APP” without having to upset their habits;
- “end user”: means the restaurateur’s customer;
- “CRM”: acronym for Customer Relationship Management, indicates the set of strategies for managing interactions with current and potential customers;
- “T&Cs”: acronym for Terms and Conditions.
Description of the Sooneat APP and/or Service
Sooneat is an application that can be considered as an innovative marketing tool with which the restaurateur will have the opportunity to involve and retain the customer through an algorithm of customer profiling through the use of social networks and with which the customer has the opportunity to interact in real time with all the other customers present in the restaurant, order the chosen food or drinks independently, offer food or drinks to other customers present in the restaurant and make payment using their smartphone.
How to Use and Access the Sooneat App and/or Service
By downloading, installing and using the Sooneat App made available by the company Sooneat S.r.l., the user, whether professional or final, accepts the following terms and conditions, as well as any changes that may be made from time to time. The latest version will always be available on the www.sooneat.com website, Windows Phone Store, Google Play and Apple.
In order to access the services and be able to use the APP and/or the Sooneat Service, the user, whether professional or final, will be required to provide personal data necessary for his/her identification or, in any case, necessary to allow the use of the Sooneat APP and/or the Sooneat Service and the related services. The user, whether professional or end-user, is required to provide truthful data and to take care of its updating.
The Company may never be held liable for any loss or damage, including with reference to any failure to access the services referred to in the APP and/or Sooneat Service, deriving from the communication of untrue or outdated data and/or information.
The user, whether professional or end-user, is obliged to use the services offered by the APP and/or Sooneat Service in compliance with the laws, regulations in force, these T&Cs as well as the conditions, specific limits and methods of use applicable to them and also made known and updated through the website www.sooneat.com
The user, whether professional or end-user, in particular and without this implying any derogation from all of the above, acknowledges and accepts that:
- The services available through the Sooneat APP and/or Service must be used in compliance with the principles of good faith and fairness;
- It is expressly forbidden to use the services available through the APP and/or Sooneat Service for illicit or fraudulent purposes or activities;
- The Company is solely responsible for the provision of the access services and their operation within the limits set out in these T&Cs;
Service communications and commercial information
The APP and/or Sooneat Service may display service communications also with reference to the contractual conditions and use of the APP itself and/or Sooneat Service as well as commercial information relating to other companies that make services available.
It may also make available products and/or services of the Company, its affiliated companies or third parties, as well as modify their functions from time to time.
The user, whether professional or final, accepts that the company may insert such communications and manage said services with exclusion of liability for any and all loss or damage suffered by the user, whether professional or final, and resulting from the information made available and/or the use of the services provided through the APP and/or Sooneat Service or resulting from any relationship established by the user, whether it is professional or final, with any third parties for the use of the same.
The Sooneat APP and/or Service may provide links to websites or web resources, as well as contact services between groups of users.
The professional user, for promotional and advertising purposes, agrees that the Company may publish and index the company’s partner restaurants on google.
You, whether professional or end-user, acknowledge and agree that the Company is not responsible for the availability of such external sites or resources and that it does not endorse and is not responsible for the content, advertising, products, or other materials on or available from such sites or resources.
The Company reserves the right to modify, suspend or discontinue the services provided through the Sooneat APP and/or Service, or any part thereof, at any time with or without notice if it finds that these terms and conditions of use have been violated.
You, whether professional or end-user, agree that, in the latter case, the Company shall not be liable to you or any third party for any such modifications, suspensions and discontinuations.
- Services available through the Sooneat APP and/or Service
Marketing e “social eating”
The Company makes available through its APP and/or Sooneat Service, among others, innovative marketing services through a certified review system, access that enables you to connect Restaurateurs and Customers, build customer loyalty through a profiling algorithm that connected to social networks studies their tastes and stores them, the creation of an interactive menu at no additional cost for updating and/or periodic revision of the same, the creation of an integrated “social eating” system characterized by a messaging platform that can only be used within the restaurant that allows customers inside the restaurant to interact in real time with each other, to independently order the dishes and/or drinks chosen from the interactive menu as well as to offer drinks to neighbors table.
Payments via smartphone
The Sooneat App and/or Service allows the end user to pay the account directly to the professional user via their smartphone, overcoming the problem of queues at the checkout due to the slowness of the POS and other traditional payment instruments, in particular payment via PayPal, credit card and/or any other financial instrument without any need to open an account.
The Company cannot, in any case, be held liable for any loss or damage resulting from the failure to transact said payments made by the end user and in no way guarantee their operation.
Acceptance and modification of the Terms of Use
The company provides the user, whether professional or end-user, with a service subject to unconditional acceptance of these Terms of Use.
Users, whether professional or end-user, acknowledge and acknowledge that they have read these Terms of Use in full. In addition, by using any of the services offered by the App and/or the Sooneat Service, you unconditionally agree to be bound by these Terms of Use.
The Company reserves the right to modify these Terms of Use at any time, in whole or in part. It is your responsibility, whether professional or end-user, and you should therefore regularly review the most recent version of the Terms of Use posted on the www.sooneat.com Site.
By downloading, installing and using the Sooneat App and/or Service or using it in any way, you agree to be bound by these Terms of Use.
Applicable Rates
The services offered by the Sooneat App and/or Service are free of charge for the end user.
On the other hand, contractually provided and absolutely transparent tariffs are applied for professional users which vary according to the services requested with modulations available on the www.sooneat.com website.
- Intellectual property rights
- Proprietary and confidential information
The user, whether professional or final, acknowledges and accepts that the APP and/or Sooneat Service and any service connected to the APP itself and/or Sooneat Service may involve the use of proprietary and confidential information, protected by applicable intellectual property laws and other standards or treaties, including international ones.
The user, whether professional or final, also acknowledges and accepts that the contents of any advertisements displayed through the APP and/or Sooneat Service are the property of the respective owners of the relevant copyright, trademark, service mark, patent or other right.
The Company grants the user, whether professional or end-user, a personal, non-transferable and non-exclusive right and license to use the APP and/or Sooneat Service.
- Obligations to the user
The user, whether professional or end-user, accepts and undertakes not to reproduce, duplicate, copy, sell, trade, resell or use for commercial purposes, in whole or in part, the Sooneat APP and/or Service.
The user, whether professional or end-user, undertakes to refrain from, directly or indirectly, any of the following activities: copying, modifying, creating derivative works from the source code, reverse engineering, disassembling or otherwise attempting to discover such code, selling, transferring, sublicensing or otherwise transferring any rights related to the APP and/or Sooneat Service.
The user, whether professional or end-user, undertakes not to use the Sooneat App and/or Service or its contents for any purpose that is unlawful, illegitimate, fraudulent, offensive, indecent, threatening, inciting hatred or violence, or for which you do not own the intellectual property rights and for which the rights holders have not given authorization.
- Penalties for breach of duty
In the event of total or partial non-compliance or non-compliance by a user, whether professional or end-user, with any of the obligations or provisions of these Terms of Use, in the event that a user, whether professional or end-user, performs any of the prohibited actions as defined in these Terms of Use, or for other reasonable reasons, the Company may modify, suspend, limit or remove access to some or all of the services of the Sooneat App and/or service without prior notice and without any right of the user to request compensation and without prejudice to any further right to compensation for damages, pecuniary and/or non-pecuniary, that the Company may possibly exercise in court.
- Modifications and updates.
The Sooneat APP and/or Service may automatically report data, including diagnostic data, and automatically download updates in order to adapt, improve and further develop the service, including the availability of bug fixes, patches, advanced functions, plug-ins and new versions, as well as to comply with legal requirements.
- Reviews
1. Publication rules
End Users must follow the following rules when posting reviews related to the Professional User:
- To post a review, end users must have actually had lunch and/or dinner in a particular establishment that uses the Sooneat App and/or Service and must certify their knowledge of the establishment through the tax receipt relating to the bill paid.
- To avoid conflicts of interest and for obvious reasons of impartiality, it is expressly forbidden to publish reviews by employees and/or collaborators of the professional user.
- The review must refer exclusively to the place visited following the parameters: location, menu, service, bill.
2. Deleting reviews
Reviews can be deleted for the following reasons:
- if the end user does not adhere to the “Terms for posting reviews” as defined above;
- if the Company reasonably believes that they may give rise to its civil or criminal liability;
- if the content or elements relating to the identity of the author contain insults or vulgarity;
- if the content may cause damage to the image of the Company or to one of the commercial partners, affiliates, other companies related to the Company itself or third parties;
- if the content is not related to the reviewed professional user;
- if the content is or is suspected of infringing the intellectual property rights of the Company or any of its business partners, affiliates, other companies related to the Company or third parties;
- if the content causes issues of conflict of interest or fraud;
- if the content is incomprehensible;
- if an end user makes an inappropriate comment about the content of another review or its author;
- if the content contains personal information or elements that may lead to identity theft, such as but not limited to: name, surname of people who are not public figures, telephone number, addresses, emails, etc.;
- if the content mentions websites, hyperlinks, URLs, email addresses and/or telephone numbers not linked to the Company;
- if the content is clearly spam.
3. Moderation of reviews
The Company is under no obligation to moderate or remove reviews.
The Company moderates reviews based on a reasonable effort to ensure that reviews comply with these Terms of Use with respect to the publication, deletion or deletion of reviews as well as on the basis of reports received from users, whether professional or final.
Users, whether professional or end-user, may request the moderation and/or deletion of a previously published review by sending an email to info@sooneat.com, specifying the reasons for the request.
4. Right of reply
The professional user always has the right of reply, in particular to:

- to thank consumers for their contribution;
- indicate the changes made to the venue after the review was written.
The reply must, in any case, comply with the provisions of these Terms of Use and will be moderated under the same conditions as end-user reviews and, if published, will be displayed after the review to which it responds.
5. Use Reviews
Users, whether professional or end-user, agree that, by posting reviews, they automatically grant the Company an irrevocable, perpetual, non-exclusive, royalty-free license to use, copy, display, adapt, modify, translate, distribute, distribute or promote, incorporate into advertisements or other material, create derivative works from, augment, disseminate or otherwise distribute such content throughout the world, and to allow third parties to do the same, in all media, online or not.
In addition, by posting reviews, users, whether professional or end-user, automatically grant the Company all necessary rights to prohibit the viewing, collection, copying or use of such content by third parties for any purpose.

B) TERMINI DI UTILIZZO
I Termini di Utilizzo e la Normativa sulla privacy costituiscono il contratto stipulato tra Sooneat Srl e l’utente, sia esso professionale o finale, da distinguersi secondo le definizioni di seguito elencate.
Con riferimento all’utente professionale queste disposizioni si applicano in aggiunta alle Condizioni generali di vendita e di utilizzo e alle condizioni speciali al momento della registrazione.
Si invita, pertanto, a voler leggere i predetti con attenzione atteso che i termini di utilizzo diventano vincolanti non appena viene usata l’APP Sooneat.
- B.: In caso di disaccordo con questi Termini di Utilizzo, in toto o in parte, non utilizzare l’APP Sooneat.
B.1. Condizioni di uso della App Sooneat
Definizioni:
- “Società”: indica la Società Sooneat Srl;
- “Sooneat”: indica l’applicazione distribuita dalla Società Sooneat Srl;
- “utente professionale”: indica il ristoratore che ha la possibilità di integrare, facilmente e gratuitamente, l’ “APP Sooneat” senza dover stravolgere le proprie abitudini;
- “utente finale”: indica il cliente del ristoratore;
- “CRM”: acronimo di Customer Relationship Management, indica l’insieme di strategie per la gestione delle interazioni con i clienti attuali e potenziali;
- “T&C”: acronimo di Termini e Condizioni.
Descrizione dell’APP Sooneat
Sooneat è un’applicazione che può essere considerata come uno strumento di marketing innovativo con il quale il ristoratore avrà la possibilità di coinvolgere e fidelizzare il cliente attraverso un algoritmo di profilazione del cliente medesimo mediante l’uso dei social network e con il quale il cliente ha la possibilità di interagire in tempo reale con tutti gli altri clienti presenti nel locale, ordinare in autonomia i cibi o le bevande prescelte, offrire cibi o bevande ad altri clienti presenti nel locale ed effettuare il pagamento mediante l’utilizzo del proprio smartphone.
Modalità d’Uso e di Accesso all’App Sooneat
Scaricando, installando e utilizzando l’App Sooneat resa fruibile dalla società Sooneat S.r.l., l’utente, sia esso professionale o finale, accetta i seguenti termini e condizioni, nonché qualsiasi modifica che potrà, di volta in volta, essere apportata. L’ultima versione sarà sempre disponibile sul sito web www.sooneat.com, Windows Phone Store, Google Play e Apple.
Per accedere ai servizi e poter utilizzare l’APP Sooneat, l’utente, sia esso professionale o finale, sarà tenuto a fornire dati personali necessari per la propria identificazione o, comunque, occorrenti per consentire l’uso dell’APP Sooneat e dei relativi servizi. L’utente, sia esso professionale o finale, è tenuto a fornire dati veritieri ed a curarne l’aggiornamento.
La Società non potrà mai essere chiamata a rispondere a qualunque titolo per qualsiasi perdita o danno, anche con riferimento ad un eventuale mancato accesso ai servizi di cui all’APP Sooneat, derivanti dalla comunicazione di dati e/o di informazioni non veritieri o non aggiornati.
L’utente, sia esso professionale o finale, ha l’obbligo di utilizzare i servizi offerti dall’APP nel rispetto delle leggi, dei regolamenti vigenti, delle presenti T&C nonché delle condizioni, degli specifici limiti e modalità di fruizione ad essi applicabili e resi noti e aggiornati anche tramite il sito www.sooneat.com
L’utente, sia esso professionale o finale, in particolare e senza che ciò implichi alcuna deroga a tutto quanto sopra, prende atto e accetta che:
- I servizi fruibili tramite l’APP devono essere utilizzati nel rispetto dei principi di buona fede e correttezza;
- È fatto espresso divieto di utilizzare i servizi fruibili tramite l’APP per scopi o attività illecite o fraudolente;
- La Società è unicamente responsabile della fornitura dei servizi di accesso e del relativo funzionamento nei limiti di cui alle presenti T&C;
Sicurezza e APP PIN
Per poter utilizzare in piena sicurezza l’APP Sooneat, l’utente, sia esso professionale o finale, dovrà generare un proprio codice di sicurezza – di seguito denominato APP PIN – secondo le modalità e le indicazioni fornite nella procedura di installazione dell’APP nel proprio dispositivo ovvero specificate nel sito www.sooneat.com.
L’utente, sia esso professionale o finale, è l’unico responsabile del corretto e personale uso dell’APP e del relativo APP PIN, della sua custodia e dell’inaccessibilità a terzi nonché della custodia e del corretto uso del dispositivo in cui è stata installata l’APP Sooneat.
L’utente, sia esso professionale o finale, pertanto, è tenuto a custodire il dispositivo e il proprio APP PIN con la necessaria diligenza ed avvedutezza al fine di impedire usi impropri ed abusi, a non cedere o dare in uso a terzi il proprio dispositivo e il proprio APP PIN, a non comunicare o trascrivere il proprio APP PIN su alcun supporto, nonché a tenerlo distinto rispetto al dispositivo nel quale è stata installata l’APP Sooneat.
In caso di smarrimento o sottrazione del terminale sul quale l’APP è stata scaricata, l’utente, sia esso professionale o finale, è tenuto a sporgere immediatamente denuncia alle Autorità competenti e ad avvertire prontamente la Società nonchè a contattare il Servizio di Assistenza Clienti di Sooneat.
In caso di sospetto che terzi siano venuti a conoscenza del proprio APP PIN, l’utente, sia esso professionale o finale, dovrà provvedere all’immediata modifica dello stesso.
Qualora l’utente, sia esso professionale o finale, dismettesse o cedesse a terzi il proprio terminale dovrà preventivamente rimuovere l’APP Sooneat.
In caso di inottemperanza agli obblighi di cui al presente punto la Società non potrà essere ritenuta responsabile per qualsiasi perdita, danno o pregiudizio derivante all’utente, sia esso professionale o finale, dall’uso improprio o dall’abuso della APP Sooneat e di tutte le funzionalità ad essa associate.
L’utente, sia esso professionale o finale, infine, prende atto e accetta che, al fine di tutelare l’integrità delle reti, la sicurezza del servizio ed evitare frodi o utilizzi anomali dell’APP si riserva la facoltà di adottare appropriati interventi, ivi incluse limitazioni o sospensioni della fruizione dell’APP medesima.
Comunicazioni di servizio e informazioni commerciali
L’APP Sooneat potrà visualizzare comunicazioni di servizio anche in riferimento alle condizioni contrattuali e di utilizzo dell’APP medesima nonché informazioni commerciali relative ad altre società che rendono disponibili servizi.
Potrà, inoltre, rendere disponibili prodotti e/o servizi della Società, di società ad essa collegate o di soggetti terzi, nonché di volta in volta modificarne le funzionalità.
L’utente, sia esso professionale o finale, accetta che la società possa inserire tali comunicazioni e gestire detti servizi con esclusione di responsabilità per ogni e qualsivoglia perdita o danno subito dall’utente, sia esso professionale o finale, e conseguente alle informazioni rese disponibili e/o dall’uso dei servizi forniti attraverso l’APP Sooneat o conseguenti ad eventuali rapporti instaurati dall’utente, sia esso professionale o finale, con eventuali soggetti terzi per la fruizione degli stessi.
L’APP Sooneat potrà fornire link a siti o risorse web, nonché servizi di contatto tra gruppi di utenti.
L’utente professionale, per finalità promozionali e pubblicitarie, accetta che la Società effettui pubblicazioni e indicizzazioni di ristoranti partner della società su google.
L’utente, sia esso professionale o finale, riconosce e quindi accetta che la Società non è responsabile per la disponibilità di tali risorse o siti esterni e che non avvalla e non è responsabile per i relativi contenuti, la pubblicità, i prodotti o altri materiali presenti o disponibili su tali siti o risorse.
La Società si riserva il diritto di modificare, sospendere o interrompere i servizi forniti attraverso l’APP Sooneat, o parte di essi, in qualsiasi momento con o senza preavviso qualora riscontrasse la violazione dei presenti termini e condizioni d’uso.
L’utente, sia esso professionale o finale, accetta che, in tale ultima ipotesi, la Società non sarà ritenuta responsabile nei propri confronti o di qualsiasi terza parte per le predette modifiche, le sospensioni e le interruzioni.
- 2. Servizi fruibili tramite l’APP di Sooneat
Marketing e “social eating”
La Società rende fruibile tramite la propria APP, tra gli altri, servizi di marketing innovativo mediante anche un sistema di recensione certificata, di accesso che abilita a mettere in connessione tra loro Ristoratori e Clienti, fidelizzare il cliente tramite un algoritmo di profilazione che connesso ai social network ne studia i gusti e li memorizza, di creazione di un menù interattivo senza alcun costo aggiuntivo per l’aggiornamento e/o periodica revisione dello stesso, di creazione di un sistema integrato di “social eating” caratterizzato da una piattaforma di messaggistica utilizzabile solo all’interno del ristorante che permette ai clienti presenti all’interno del locale di interagire in tempo reale tra loro, di ordinare in autonomia i piatti e/o le bibite prescelte dal menù interattivo nonché di offrire da bere anche ai vicini di tavolo.
Pagamenti tramite smartphone
L’App Sooneat consente all’utente finale il pagamento diretto del conto all’utente professionale tramite il proprio smartphone superando il problema delle code alla cassa dovute alla lentezza del pos e degli altri tradizionali strumenti di pagamento, in particolare pagamento tramite paypal, carta di credito e/o qualsivoglia altro strumento finanziario senza alcuna necessità di apertura conto.
La Società non potrà, in ogni caso, essere ritenuta responsabile per qualsiasi perdita o danno derivante dalla mancata transazione di detti pagamenti effettuati dall’utente finale non garantendone in alcun modo il funzionamento.
Accettazione e modifica dei Termini di Utilizzo
La società fornisce all’utente, sia esso professionale o finale, un servizio previa accettazione incondizionata di questi Termini di Utilizzo.
Gli utenti, siano essi professionali o finali, dichiarano e riconoscono di avere letto per intero questi Termini di Utilizzo. Inoltre, usando uno qualsiasi dei servizi offerti dall’App Sooneat, accettano incondizionatamente di essere vincolati a questi Termini di Utilizzo.
La Società si riserva il diritto di modificare questi Termini di Utilizzo in qualsiasi momento, in toto o in parte. È responsabilità dell’utente, sia esso professionale o finale, pertanto consultare regolarmente la versione più recente dei Termini di Utilizzo pubblicata sul Sito www.sooneat.com.
Scaricando, installando e utilizzando l’App Sooneat o utilizzandola in qualsiasi modo, l’utente acconsente a essere vincolato a questi Termini di Utilizzo.
Tariffe applicabili
I servizi offerti dall’App Sooneat sono gratuiti per l’utente finale.
Si applicano, invece, delle tariffe contrattualmente previste ed assolutamente trasparenti per gli utenti professionali che variano a seconda dei servizi richiesti con modulazioni reperibili sul sito www.sooneat.com.
- Diritti di proprietà intellettuale
- 1. Informazioni proprietarie e riservate
L’utente, sia esso professionale o finale, riconosce e accetta che l’APP Sooneat e qualsiasi servizio collegato all’APP stessa possa comportare l’uso di informazioni proprietarie e riservate, protette dalle leggi applicabili in materia di proprietà intellettuale e da altre norme o trattati anche internazionali.
L’utente, sia esso professionale o finale, inoltre, riconosce ed accetta che i contenuti presenti in eventuali annunci pubblicitari visualizzati tramite l’APP Sooneat sono di proprietà dei rispettivi titolari del relativo diritto d’autore, marchio di fabbrica, marchio di servizio, brevetto o altro diritto.
La Società concede all’utente, sia esso professionale o finale, un diritto e una licenza personale, non trasferibile e non esclusiva per l’uso dell’APP Sooneat.
- 2. Obblighi per l’utente
L’utente, sia esso professionale o finale, accetta e si obbliga a non riprodurre, duplicare, copiare, vendere, negoziare, rivendere o utilizzare a fini commerciali, in tutto in parte, l’APP Sooneat.
L’utente, sia esso professionale o finale, si obbliga ad astenersi, direttamente o indirettamente, ad una delle seguenti attività: copiare, modificare, creare opere derivate dal codice sorgente, decodificare, disassemblare o tentare in altro modo di scoprire tale codice, vendere, trasferire, concedere in sub licenza o altrimenti trasferire qualsiasi diritto relativo all’APP.
L’utente, sia esso professionale o finale, si obbliga a non usare l’App Sooneat o i suoi contenuti per scopi illegali, illegittimi, fraudolenti, offensivi, indecenti, minacciosi, incitanti all’odio o alla violenza, o di cui non si possiede i diritti di proprietà intellettuale e per cui i titolari dei diritti non hanno dato l’autorizzazione.
- 3. Sanzioni per violazione degli obblighi
Nel caso di inadempienza o mancato rispetto totale o parziale da parte di un utente, sia esso professionale o finale, di uno qualsiasi degli obblighi o delle disposizioni di questi Termini di Utilizzo, nel caso in cui un utente, sia esso professionale o finale, esegua una delle azioni non consentite così come definite in questi Termini di Utilizzo, o per altri motivi ragionevoli, la Società potrà modificare, sospendere, limitare o rimuovere l’accesso ad alcuni o a tutti i servizi dell’App Sooneat senza preavviso e senza alcun diritto dell’utente medesimo a richiedere una compensazione e senza pregiudicare eventuale ed ulteriore diritto al risarcimento del danno, patrimoniale e/o non patrimoniale, che la Società potrà eventualmente esercitare nelle sedi di giustizia.
- 4. Modificazioni e aggiornamenti.
L’APP Sooneat può riportare automaticamente dati anche di diagnostica e scaricare automaticamente aggiornamenti al fine di adeguare, migliorare e sviluppare ulteriormente il servizio, compresa la disponibilità di correzioni di bug, patch, funzioni avanzate, plug-in e nuove versioni, nonché per ottemperare a prescrizioni di legge.
- Recensioni
- 1. Regole sulle pubblicazioni
Gli Utenti finali devono seguire le regole seguenti quando pubblicano recensioni relative all’utente professionale:
- per pubblicare una recensione, gli utenti finali devono aver realmente pranzato e/o cenato in un determinato locale che utilizza l’App Sooneat e devono certificare la propria conoscenza del locale tramite la ricevuta fiscale relativa al conto pagato.
- per evitare conflitti di interesse e per ovvie ragioni di terzietà, è fatto espresso divieto di pubblicare recensioni da parte di dipendenti e/o collaboratori dell’utente professionale.
- la recensione deve riferirsi esclusivamente al locale visitato seguendo i parametri: location, menù, servizio, conto.
- 2. Eliminazione delle recensioni
Le recensioni possono essere eliminati per i seguenti motivi:
- se l’utente finale non aderisce alle “Condizioni per pubblicare recensioni” come definite sopra;
- se la Società ritiene, ragionevolmente, che possano comportare la sua responsabilità civile o penale;
- se il contenuto o gli elementi relativi all’identità dell’autore contengono insulti o volgarità;
- se il contenuto può arrecare danno all’immagine della Società o ad uno dei partner commerciali, affiliati, altre società collegate alla Società medesima o soggetti terzi;
- se il contenuto non è relativo all’utente professionale recensito;
- se il contenuto è o è sospettato di essere una violazione dei diritti di proprietà intellettuale della Società o ad uno dei partner commerciali, affiliati, altre società collegate alla Società medesima o soggetti terzi;
- se il contenuto provoca questioni di conflitto di interesse o frode;
- se il contenuto risulta incomprensibile;
- se un utente finale fa un commento inappropriato sul contenuto di un’altra recensione o sul suo autore;
- se il contenuto contiene informazioni personali o elementi che possono portare a furto d’identità, come a titolo esemplificativo e non esaustivo: nome, cognome di persone che non sono personaggi pubblici, numero di telefono, indirizzi, email ecc.;
- se il contenuto cita siti Web, link ipertestuali, URL, indirizzo email e/o numeri di telefono non collegati alla Società;
- se il contenuto è chiaramente spam.
- 3. Moderazione di recensioni
La Società non ha nessun obbligo di moderare o rimuovere recensioni.
La Società modera le recensioni in base a uno sforzo ragionevole per assicurare che le recensioni siano conformi a questi Termini di Utilizzo in riferimento alla pubblicazione, eliminazione o cancellazione di recensioni nonché sulla base delle segnalazioni ricevute dagli utenti, siano essi professionali o finali.
Gli utenti, siano essi professionali o finali, potranno richiedere la moderazione e/o eliminazione di una recensione pubblicata in precedenza inviando un’email a info@sooneat.com, specificando i motivi della richiesta.
- 4. Diritto di replica
L’utente professionale ha sempre diritto di replica, in particolare a:
- dare la propria versione dei fatti;
- ringraziare i consumatori per il loro contributo;
- indicare le modifiche apportate al locale dopo che è stata scritta la recensione.
La replica deve, in ogni caso, essere conforme alle disposizioni di questi Termini di Utilizzo e sarà moderata alle stesse condizioni delle recensioni degli utenti finali e, se pubblicata, sarà visualizzata dopo la recensione a cui risponde.
- 5. Uso recensioni
Gli utenti, siano essi professionali o finali, acconsentono al fatto che, pubblicando recensioni, essi accordano automaticamente alla Società una licenza irrevocabile, permanente, non esclusiva, esente da diritti d’autore, per usare, copiare, visualizzare, adattare, modificare, tradurre, distribuire, aver distribuito o promosso, integrare in annunci pubblicitari o altro materiale, creare opere derivate, incrementare, diffondere o distribuire in altro modo tali contenuti nel mondo e per consentire a terzi di fare altrettanto, in tutti i media, online o no.
Inoltre, pubblicando recensioni, gli utenti, siano essi professionali o finali, accordano automaticamente alla Società tutti i diritti necessari per proibire la visualizzazione, la raccolta, la copia o l’utilizzo di tali contenuti da parte di terzi a qualsiasi fine.
